Mammoth CrestCAPITAL

Advisory and implementation for public companies

For public companies at an inflection point.

Mammoth Crest Capital leads restructurings, turnarounds and capital-structure work at small and microcap companies. We write the plan, take a seat at the board table, and stay until the plan is carried out.

We implement

Most advisors hand over a plan and leave. We put the policies, metrics and people in place, hold management accountable, and stay through the milestones.

We sit on the board

Our principals serve as directors. We help rebuild boards with independent members who meet Nasdaq's independence and committee rules.

We know public markets

We have run and financed small public companies ourselves. Listing rules, SEC reporting and the capital markets are daily work for us.

We are aligned with shareholders

A meaningful part of our compensation is in company equity. We do well when your shareholders do.

Services

Six areas of work, led by the same team

Most engagements combine several of these. One team carries the work from diagnosis through execution, so nothing is lost in a handoff between firms.

Turnaround and restructuring

Diagnose what is broken, build the plan, and run each workstream to completion.

  • Liquidity and cash-runway review
  • Cost structure and operating fixes
  • KPIs, reporting and accountability

Governance and board

Rebuild the board so it can oversee a company in transition.

  • Board reconstitution
  • Independent director search and vetting
  • Audit, compensation and nominating committees

Capital structure

A financing plan that fits the company's stage, with a clear order of steps.

  • Restructuring existing debt
  • Go-forward financing plan
  • Working alongside your bankers and investors

Public markets strategy

Keep the listing healthy and give the company a clear story for the market.

  • Listing compliance
  • Disclosure calendar and SEC report support
  • Market strategy for your IR and PR firm to carry out
  • Meetings with key shareholders alongside management

M&A and strategic alternatives

Find the transaction that changes the company's trajectory.

  • Reverse mergers and business combinations
  • Acquisitions and divestitures
  • New revenue lines and diversification

Operations and team build-out

Put the people and systems in place to run the plan.

  • Executive and key-role hiring
  • ERP rollout oversight
  • Sales operations and production processes

How we engage

A plan in 30 days, then we carry it out

Each engagement starts with fixed deliverables on a short clock, so the board knows exactly what it is getting and when.

Day 15

Diagnostic

A written read on liquidity and runway, operating fixes, capital structure and strategic options.

Day 30

Strategic plan

A long-range plan covering operations, growth, M&A and cost structure, with a roadmap of milestones and owners.

Day 60

Capital-structure plan

The financing plan, any debt restructuring, and the order in which to do it.

Ongoing

Implementation

We lead the workstreams against the agreed milestones, then stay on a monthly retainer for as long as the board needs us.
